Former head of the NBU Vladimir Stelmakh has been appointed head of PrivatBank's Supervisory Board. This decision was made by the bank's shareholders at a general meeting on April 30, according to the financial institution's press service.
It was also reported that the board of shareholders decided to increase the number of members of the financial institution's Supervisory Board from three to five. The new Supervisory Board includes Viktor Lisitsky, Vladimir Stelmakh, Alexey Martynov, Gennady Bogolyubov, and Igor Kolomoisky. Vladimir Stelmakh was elected Chairman of PrivatBank's Supervisory Board.
As PrivatBank's press service noted, changing the composition and introducing independent members to the bank's Supervisory Board will bring the financial institution's governance structure into line with legislative changes. A new provision of the Law "On Banks and Banking Activities" obliges Ukrainian banks to ensure that independent members of their supervisory boards constitute at least one-quarter of its members by July 10, 2015.
The bank's press service also reported that at a shareholders' meeting, based on PrivatBank's operating results, a decision was made not to pay dividends to its shareholders, but to allocate a portion of the profits to replenishing reserve capital and forming general reserves. A portion of the profits was decided to remain undistributed. Additionally, the financial institution's shareholders decided to increase the bank's authorized capital by 26,2%, or UAH 5 billion, through a private placement of additional shares funded by additional shareholder contributions.
