Klitschko prevents Firtash and Boyko from being ousted from Kyivgaz

Firth Klitsch BoykoThe Kyivgaz PJSC shareholders' meeting scheduled for March 30 was disrupted, allegedly due to the sluggish management of Kyivenergoholding CJSC. In reality, the blame for the failure to hold a shareholders' meeting for this company since 2013 lies primarily with Kyiv Mayor Vitali Klitschko, who apparently gave certain guarantees to oligarch Dmytro Firtash in Vienna, KV asserts.

The purpose of disrupting the Kyivgaz PJSC shareholders' meeting was to prevent the replacement of the chairman of the board, Serhiy Gorovoy, who was appointed to this position by his father-in-law, Firtash's partner and leader of the Opposition Bloc faction in the Verkhovna Rada, Yuriy Boyko.

As KV has reported repeatedly, PJSC Kyivgaz has not held a shareholder meeting since 2013, despite the law requiring such meetings to be held annually. Because of this, the company, in which the Kyiv community holds a stake, fails to pay dividends to the Kyiv city budget (it owes approximately 5 million UAH, — KV), for the use of the city's gas transportation system, and refuses to report to the Kyiv City Council on numerous problematic issues.

Yesterday, Kyivgaz PJSC issued an official press release in an attempt to explain the reason for the cancellation of a shareholders' meeting scheduled by the management of Kyivenergoholding PJSC (the managing superstructure that owns 60% of Kyivgaz shares, — KV) for March 30.

The Kyivgaz press service assures that 176 shareholders—employees of the company (more than half of the total number of shareholders)—did not receive personal notifications about this meeting, as stipulated by Article 35 of the Law "On Joint-Stock Companies."

Formally, responsibility for this, of course, lies with Kyivenergoholding, which announced that the meeting would take place on March 30.

Therefore, Kyivgaz's management will allegedly try to hold a shareholder meeting on May 18, 2016. The agenda for this meeting will allegedly include issues regarding the approval of the PJSC's annual report, the distribution of PJSC's profits and losses, and the adoption of a decision based on the review of the supervisory board's report, as well as the executive body's report and the audit commission's report.

However, it is probably not worth hoping that the Kyivgaz shareholders' meeting will take place in the near future.

According to KV, the situation is exacerbated by the fact that, for some unknown reason, the Unified State Register of Shareholders currently lacks information on more than 150 shareholders of Kyivgaz PJSC. The Kyiv City State Administration's Department of Municipal Property, which controls 28,46% of Kyiv residents' corporate rights in Kyivgaz assets, is clearly aware of this but remains silent.

According to Volodymyr Bondarenko, head of the Kyiv City Council's Standing Committee on Housing and Utilities and the Fuel and Energy Complex, a well-known oligarch, whom Vitali Klitschko met with in Vienna on the eve of the May 2014 elections, and Yuriy Boyko, head of the Opposition Bloc, may have influence not only over the Kyiv mayor but also over the leadership of the Unified State Register of Shareholders.

"Most likely, Kyivgaz PJSC shareholders' meetings aren't held to prevent the company from being taken over by these prominent representatives of the 'Yanukovych regime.' A shareholder meeting can and should be called by a decision of Kyivgaz's supervisory board. This is the most appropriate course of action. But this supervisory board includes three representatives of the Kyiv territorial community, appointed by Kyiv City Council, whose names I don't even know. They say one of them has been missing for a long time, which is why this body is inactive. These people were appointed back under Kyiv Mayor Leonid Chernovetsky. Vitali Klitschko has done absolutely nothing to replace them," Volodymyr Bondarenko told KV.

The politician is confident that the leadership of the Kyiv City State Administration's Department of Municipal Property is fully capable of restoring Kyiv City Council control over the operations of Kyivgaz PJSC. But only if the Kyiv Mayor so desires.

It's hard to disagree with this. After all, in April 2015, for example, the Kyiv City Council, at Klitschko's instigation, appointed new representatives of the local community to the supervisory boards of Kyivmiskbud Holding Company and Kyivspetstrans CJSC.

For some reason, Klitschko has yet to initiate a similar resolution regarding the supervisory board of PJSC Kyivgaz. Even though, at the very beginning of its work in 2014, the Kyiv City Council resolved to replace absolutely all representatives of the Kyiv territorial community with representatives who would participate in general shareholder meetings and meetings of the supervisory boards of business entities managing portions of the capital's community's property.

KV subsequently made inquiries to the head of the Kyiv City State Administration (Kyiv Mayor Vitaliy Klitschko) regarding the timeframe and stages for implementing this Kyiv City Council decision. However, in response, it received only vague replies—they contained no substantive answers.

Thus, it is clear that neither the leadership of the Kyiv City Council, the Kyiv City State Administration, nor the management of PJSC Kyivgaz are interested in holding a shareholders' meeting. As experts have warned,

As a reminder, Kyivgaz PJSC, headed by Serhiy Gorovoy, manages nearly 4,5 kilometers of high-, medium-, and low-pressure gas pipelines, over 1300 gas pressure control stations, and 650 cathodic protection stations. The company serves approximately 2 million natural gas consumers, over 300 industrial enterprises, and over 1300 public utilities and organizations.

Serhiy Gorovoy is the son-in-law of the leader of the Opposition Bloc parliamentary faction, Yuriy Boyko.

He was elected Chairman of the Board of PJSC Kyivgaz by the general meeting of shareholders on December 17, 2010, for a three-year term. Prior to this, Gorovoy served as Director of the Kyivreklama public utility company. Some media outlets claim that a man named Sergey Aleksandrovich Gorovoy, born in 1966 and residing at 2 Yunosti Street in Kyiv, has evidence of involvement in the "Prince" organized crime group (mid-90s) as a "foreman," with the criminal nickname "Garik."

Vitaliy Naidyuk was appointed head of Kyivenergoholding in July 2015. According to Nashi Groshi, Naidyuk also subsequently became head of the supervisory board of Kyivvodokanal PJSC, which had previously been controlled by managers close to President Viktor Yanukovych, Head of the Presidential Administration Serhiy Lyovochkin, and Kyiv City State Administration Chairman Oleksandr Popov.

Prior to these appointments, Naidyuk (pictured left) served as CFO at Energoseti Holding Company CJSC and Lugansk Energy Association LLC. Energoseti's chairman of the board is Dmitry Kryuchkov , and the company's shares are owned by the Cypriot-based UA Energoset Holdings Ltd., which is owned by Kryuchkov's wife, Natalia Loktionova.

The Kyiv territorial community owns 61% of Kyivenergoholding's shares. The remaining shares of this closed joint-stock company are owned by the Cypriot firm Densec Limited and Artio Global Investors LTD. These companies were previously considered to be within Vasyl Khmelnytsky's sphere of influence. However, ties to MP Serhiy Lyovochkin's Opposition Bloc faction have now emerged, according to Nashi Groshi.

Densec Limited director Amal Lambro is also one of the directors of the Luxembourg firm Boutifour SA, which owns Levochkin's French villa.

There seems to be no need to recall Dmytro Firtash's ties to Serhiy Levochkin and their influence on the Opposition Bloc, which is represented in parliament by the odious Yuriy Boyko.
